Who can invest through Mosaic’s platform?

Mosaic offers many different types of investment opportunities. We will only show project details to investors who are financially and geographically qualified. 

Individual investors must be U.S. residents who are 18 years of age or older and have a valid Social Security number (SSN). Investors must also have a checking or savings bank account. US citizenship is not required.

Individual investors must meet suitability requirements established for each offering:

Currently our investments are limited to residents of California or accredited investors who are residents of the United States. For individuals, the Securities and Exchange Commission (SEC) defines an accredited investor as someone who has:

  • Income that exceeded $200,000 in each of the last two years or joint income with a spouse that exceeded $300,000 in each of those years, and has a reasonable expectation of reaching the same income level this year; or
  • Net worth (excluding equity in the primary residence), individually or jointly with a spouse that exceeds $1 million.

Additionally, some projects allow investments by persons who are not accredited investors but meet certain criteria indicating that they meet the SEC's investment sophistication requirements. In such cases, we may offer Notes to investors who have an economics, business or finance degree (undergraduate or graduate), and/or have worked in a finance-related job for at least 12 months.

We are working to expand this opportunity to more states and eventually other countries, however, we do not have a set timeline for expansion as much of it depends upon regulatory approval. At this time Mosaic is not offering Notes to persons who are not United States residents. 



Can Limited Liability Corporations invest in Mosaic Notes?

LLC's that reside within Mosaic's geographic area can invest in Mosaic Notes. The entity's state of residence is determined by its physical address. In order for an LLC to invest in certain projects that are only available to accredited investors the LLC must hold at least $5 million in assets or all of its members must be accredited.
